1Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and VerifyDocs, operated by SUPERMINT INFOTECH PRIVATE LIMITED ("we", "us", "our"). By registering for an account, generating an API key, or otherwise using our services, you confirm that you have the authority to bind the business you represent to these Terms.

If you do not agree to these Terms, do not create an account or use the API.

2Description of service

VerifyDocs provides a B2B API platform that allows Merchants to verify identity documents and details — including Aadhaar, PAN, bank account and other supported document types — for their own end customers, in exchange for a fee deducted per successful verification.

We are a technology intermediary. We do not make lending, onboarding, or approval decisions on a Merchant's behalf; those decisions, and compliance with sector-specific regulation (RBI, SEBI, or otherwise), remain the Merchant's responsibility.

3Eligibility & account registration

• You must be a registered business entity, or an authorised representative of one, to create an account.
• You are responsible for the accuracy of the information provided during registration and for keeping your account credentials confidential.
• We may request business verification documents (incorporation certificate, GSTIN, authorised signatory ID) before activating production API access.
• One account per business unless otherwise agreed in writing.

4API access & permitted use

• API keys are issued per account and must not be shared, published, or embedded in client-side/mobile code.
• Sandbox keys are for testing only and must not be used to process real end-customer data.
• You may only submit verification requests for end customers who have given consent for that specific verification.
• Rate limits apply per plan; sustained excess usage may be throttled or require a plan upgrade.
• We may update API versions, endpoints, or response schemas with reasonable advance notice; breaking changes will not be pushed to a version you have pinned without notice.

5Wallet, billing & fees

Access to paid verification services runs on a prepaid wallet model:

• You add funds to your VerifyDocs wallet in advance of usage.
• Each successful verification call deducts the applicable fee from your wallet balance in real time.
• If your wallet balance is insufficient to cover a request, that request will be rejected before it is processed — no verification is run, and no fee is charged.
• Wallet balances do not expire and remain available for use or withdrawal, subject to our Refund Policy.
• Pricing per verification type is published on our Pricing page and may change with prior notice; rate changes apply only to future top-ups and usage, not to funds already deducted.
• All fees are exclusive of applicable taxes unless stated otherwise.

6Merchant obligations

As the party collecting data from your end customers, you agree to:

• Obtain valid, informed consent from each end customer before submitting their data for verification.
• Use verification results only for the purpose disclosed to the end customer at the time of consent.
• Comply with all applicable data protection, KYC and sector-specific regulatory obligations in your own jurisdiction and industry.
• Not resell, sublicense, or expose raw API responses to any party other than the end customer to whom the data belongs, except as required by your own regulator.
• Promptly notify us of any suspected security incident involving your API keys or account.

7Acceptable use policy

You must not use VerifyDocs to:

• Verify identity data without the underlying individual's consent.
• Attempt to reverse-engineer, scrape, or bypass API rate limits or authentication.
• Submit synthetic, stolen, or fraudulently obtained identity data.
• Use the service for any unlawful purpose, including harassment, discrimination, or surveillance without lawful basis.
• Interfere with the availability or integrity of the API for other Merchants.

8Intellectual property

All rights, title and interest in the VerifyDocs platform, API, documentation and branding remain our property. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the API for your own business purposes for as long as your account remains active in good standing.

9Service availability

We work to keep the API reliable but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where practicable. We are not liable for downtime caused by upstream data sources (such as UIDAI or NSDL systems), your own infrastructure, or events outside our reasonable control.

10Limitation of liability

To the maximum extent permitted by law, VerifyDocs and its officers, employees and affiliates will not be liable for any indirect, incidental, or consequential damages arising from your use of the service. Our total aggregate liability for any claim arising out of these Terms is limited to the fees paid by you in the Three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded under applicable law.

11Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or expenses arising from your breach of these Terms, your misuse of end-customer data, or your violation of applicable law in connection with your use of the API.

12Suspension & termination

• You may close your account at any time; any remaining wallet balance can be withdrawn per our Refund Policy.
• We may suspend or terminate access immediately for breach of these Terms, suspected fraud, or non-payment, and with reasonable notice for other reasons.
• Sections relating to intellectual property, liability, indemnification, and governing law survive termination.

13Governing law & disputes

These Terms are governed by the laws of India. Courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory arbitration clause agreed separately in writing.

14Changes to these terms

We may revise these Terms from time to time. Material changes will be notified via email or dashboard notice at least 7 days before taking effect. Continued use of the API after that date constitutes acceptance of the revised Terms.
